London | Serving individuals and companies in the UK and overseas

25+ Years' Experience | ICO Registered | HMRC AML Supervised

Companies House now verifies the identity of every director, person with significant control and person filing on a company's behalf. A company record that is incomplete or unverified can lead to rejected filings, offences and, ultimately, the company being struck off.

What determines your position

Identity verification is mandatory. Directors and persons with significant control must verify their identity with Companies House, either directly or through an authorised corporate service provider. Failure to verify is an offence.

A personal code links the person to the record. Once verified, each individual receives a Companies House personal code, which is used for their appointments across all companies.

Filings must come from a verified source. Documents filed with Companies House must be submitted by a verified individual or by an authorised corporate service provider acting on the company's behalf.

The confirmation statement is an annual obligation. It must be filed at least once every twelve months, within fourteen days of the review date. Each statement also confirms that the company's future activities are lawful.

A registered email address is required. Every company must maintain an appropriate registered email address, which is not shown on the public register.

Changes must be reported on time. Appointments, resignations and changes to persons with significant control must usually be notified within fourteen days.

Late accounts carry automatic penalties. For a private company, penalties range from £150 to £1,500 depending on how late the accounts are, and double where accounts are filed late in two consecutive years.

Identity verification, confirmation statements and Companies House filings form part of the practice's work as an authorised corporate service provider. Each filing is checked against the company record before it is submitted. All matters are handled in confidence.
